1. Agreement to terms

Welcome to PartnerFlow, operated by Solentis Ltd ("we", "our", "us"). By accessing or using our website at partner-flow.com or the PartnerFlow platform (together, the "Services"), you agree to these Terms of Service. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means that organisation. Your use of the platform may also be governed by a separate written customer agreement, which prevails over these Terms to the extent of any conflict.

2. The Services

PartnerFlow is a platform that lets brands set service standards and lets their service partners execute work within those standards, with shared visibility across every case. We may update, add, or remove features over time to improve the Services.

3. Accounts

To use the platform you may need an account. You are responsible for the accuracy of your account information, for keeping credentials secure, and for activity under your account. Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to:

• Use the Services unlawfully or in breach of these Terms;
• Attempt to gain unauthorised access to the Services, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer or copy the Services except as permitted by law;
• Upload malicious code or content you do not have the right to share.

5. Customer data and responsibilities

You retain ownership of the data you and your users submit to the platform ("Customer Data"). You are responsible for the Customer Data and for having the necessary rights and lawful basis to provide it to us for processing. We process Customer Data to provide the Services and as described in our Privacy Policy and any data-processing terms in your customer agreement.

6. Intellectual property

All content, software, logos, and materials provided through the Services are owned by Solentis or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes, subject to these Terms. You may not use our trademarks without prior written permission.

7. Third-party services

The Services may interoperate with third-party services you choose to connect. Those services are governed by their own terms, and we are not responsible for them.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, Solentis is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or relating to your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Indemnity

You agree to defend, indemnify, and hold harmless Solentis, its affiliates, and employees from any claims, damages, or expenses arising from your misuse of the Services or breach of these Terms.

11. Suspension and termination

We may suspend or terminate access to the Services if you breach these Terms or to protect the Services, our users, or our systems. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have under local law.

13. Changes

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance.
